Yoon & Yang LLC advised Lotte Group on the sale of a controlling stake in Lotte Rental to global private equity firm Texas Pacific Group (TPG).

As part of its portfolio restructuring strategy to focus on its core businesses, Lotte Group pursued the sale of Lotte Rental and entered into negotiations with TPG.

Valued at approximately KRW 1.3 trillion (approx. USD 974 million), the transaction involved Yoon & Yang serving as sell-side legal counsel from the early stages, advising on negotiation strategies, key legal issues relating to the transaction terms, and strategies for responding to TPG's legal due diligence. The firm also advised Lotte Rental, which became involved in the final stages of negotiations, on disclosure requirements, corporate governance and other legal matters arising from the change in the controlling shareholder of a listed company.

This transaction represents a major M&A deal involving the transfer of control of one of Korea's leading car rental and mobility companies to a global private equity firm. It further demonstrates Yoon & Yang's expertise and comprehensive advisory capabilities in large-scale M&A transactions and transfers of corporate control involving changes in the controlling shareholders of listed companies.
